Terms and Conditions

1. Definitions and terms
1.1 Client: the person or persons for whose benefit Helemaal Mona provides its services. The client and the customer may be the same, but this does not have to be the case.
1.2 Principal: the person or entity that has given Helemaal Mona an assignment to provide its services. Unless expressly agreed otherwise in writing, the principal is the party responsible for payment of the agreed price for Helemaal Mona’s services.
1.3 Helemaal Mona: registered with the Chamber of Commerce in Amsterdam under number 34306587, provides services in the field of therapy, massage, shamanism, tantra and awareness, as shown on the website and social media.
1.4 Third parties: in some cases Helemaal Mona may provide its services (partly) with the help of third parties engaged by her. Helemaal Mona may at all times change the composition of a team if she believes this is necessary for proper execution or continuity of her services.

2. Applicability of these terms and conditions
2.1 These Terms and Conditions apply to all offers, quotations, assignments, activities performed by and agreements concluded with Helemaal Mona.
2.2 They also apply to assignments involving third parties.
2.3 Helemaal Mona reserves the right to amend or change these Terms and Conditions in the future.

3. Assignment
3.1 Quotations from Helemaal Mona are based solely on the information provided by a (future) principal. The principal guarantees that all relevant information has been provided truthfully and in full. If this information proves incorrect or incomplete, Helemaal Mona reserves the right to adjust the services accordingly.
3.2 An assignment is granted by returning a signed agreement issued by Helemaal Mona, or by written or email confirmation of the digital quotation, which then serves as the assignment confirmation.

4. Interim changes to the assignment
4.1 If changes occur at the request of or due to the principal, Helemaal Mona will make the necessary adjustments where possible. If this leads to additional work, it will be charged without the need for a separate written assignment. By changing the assignment, the principal agrees in advance to the financial consequences.

5. Best-effort obligation
5.1 Helemaal Mona will perform her services to the best of her ability. However, this is a best-effort obligation, meaning that she does not guarantee success or the achievement of specific results.

6. Offers and formation of the agreement
6.1 All offers from Helemaal Mona are valid for 30 days, are non-binding and may be withdrawn freely. Helemaal Mona is not bound if the offer is not accepted in writing within 30 days.

7. Obligations of the principal
7.1 The principal guarantees that the agreed number of participants will take part. If fewer participate, the full agreed amount remains payable.
7.2 If a participant cannot attend due to unforeseen circumstances, another participant may take their place only with prior approval from Helemaal Mona.
7.3 The principal provides all necessary information, documents and data needed to carry out the assignment properly.
7.4 Engaging third parties in execution is only allowed with prior written permission from Helemaal Mona.

8. Rates, costs and prices
8.1 Quotations clearly state which rates and costs will be charged.
8.2 Prices are exclusive of VAT, government levies and additional costs such as shipping, administration and travel expenses unless stated otherwise.

9. Invoicing and payment
9.1 All fees and costs are invoiced in writing or digitally. Helemaal Mona may invoice part or all of the amount in advance.
9.2 Payment must be made within 14 days of the invoice date unless stated otherwise.
9.3 All collection and legal costs resulting from late payment are at the expense of the principal.
9.4 For installment payments, payment before the due date is required.
9.5 Installment payments require approval by Helemaal Mona. Late payments may incur statutory business interest.

10. Cancellation agreement
10.1 If the assignment is cancelled for reasons not attributable to Helemaal Mona, the following cancellation conditions apply.

11. Duration and completion
11.1 The duration depends on the type of service and is agreed in advance where possible.

12. Early termination
12.1 Both parties may terminate the agreement if execution is no longer possible as agreed.
12.2 If terminated early by the principal for reasons not attributable to Helemaal Mona, the full amount remains payable and no refund is given.

13. Liability
13.1 Helemaal Mona is never liable for direct or indirect damage.
13.2 She is not responsible for results, only a best-effort obligation applies.

14. Intellectual property
14.1 All materials and methods remain the property of Helemaal Mona and may not be published without written permission.

15. Confidentiality
15.1 Helemaal Mona maintains confidentiality and uses data only for administration of the assignment.

16. Special provisions
16.1 Participants disrupting workshops may be excluded without refund.
16.2 Dutch law applies to all matters not covered.
16.3 Disputes will be settled by the competent Dutch court.
